Auction Stand Platform Terms

How these terms are organized

Part 1 applies to everyone with an Auction Stand account, including people who bid and buy. Part 2 applies only to accounts that open or operate a store, and sets out what a store pays and what happens when a store leaves. If you do not operate a store, Part 1 is the part that applies to you.

Part 1 — Terms that apply to everyone

The sections in this part apply to every account.

1. The platform

Auction Stand provides hosted software that independent sellers use to operate online storefronts and auctions. Each Store is an independent seller responsible for its listings, sales, payments, fulfillment, returns, and customer service. Auction Stand provides the software and is not the seller, auctioneer, owner, or shipper of listed items, and does not set listing-specific prices, taxes, premiums, fees, pickup rules, shipping terms, or refund decisions.

2. Accounts

You must provide accurate information, protect your credentials, and promptly report unauthorized access. You may not misuse the service, interfere with its operation, evade access controls, impersonate another person, or use it unlawfully. We may restrict accounts to protect users, sellers, or the platform.

3. Buying and bidding at a store

Each store publishes terms governing its auctions and transactions. Before your first bid under the current store terms, you must accept those terms. A store's listing and checkout disclosures control transaction details. Questions about an item, payment, pickup, shipping, returns, or refunds should be directed to that store.

4. Availability and third parties

The service may depend on payment processors, authentication providers, email delivery, hosting, storage, and other vendors. We work to provide a reliable service but do not promise uninterrupted or error-free operation. Third-party services may also apply their own terms.

5. Intellectual property

Auction Stand and its software, branding, and platform content are protected by applicable intellectual-property laws. Stores remain responsible for the content and item information they publish. You may not copy, reverse engineer, or exploit the platform except as permitted by law.

6. Disclaimers and liability

To the extent permitted by law, the platform is provided “as is” and “as available.” Auction Stand is not responsible for store descriptions, item condition, transaction performance, or disputes between a store and a bidder. Nothing in these terms excludes rights or remedies that cannot legally be excluded.

7. Changes and governing law

We may update these terms prospectively. When a new version requires acceptance, we will request it before covered use continues. These terms are governed by the laws of Ontario and applicable laws of Canada, without limiting mandatory consumer protections in your jurisdiction.

Part 2 — Additional terms for store operators

This part applies only if you open or operate a store. It is accepted separately on the store-opening screen, which shows the plan, subscription price, trial (if any), and commission rate that apply to your store. Those figures form part of your agreement with us.

8. Subscription and renewal

A store runs on a paid subscription. The plan, price, and currency are those shown on the store-opening screen when you open the store, and afterwards on your billing page. The subscription renews automatically each billing period until it is cancelled, and you authorize us to charge your payment method on each renewal. If a trial is offered, it is disclosed before you open the store, requires a payment method up front, and converts to a paid subscription at the end of the trial unless you cancel before it ends. We may change plan pricing prospectively on notice; a price change never applies to a billing period already paid.

9. Commission on sales

In addition to the subscription, we take a commission on each completed sale, at the rate shown on the store-opening screen and on your billing page. The commission is calculated on the winning bid plus the buyer's premium, less any discount applied to the order. Shipping charges, taxes, and card-processing surcharges are excluded: those are amounts you collect for a carrier, a tax authority, or the payment processor, and we do not take a percentage of them. The commission is collected through the payment processor at the time the buyer pays. If you refund a buyer, the commission on that order is reversed at the same time and without you having to ask. A full refund reverses the whole commission. A partial refund reverses the commission charged on the item value being returned: a refund you issue against specific items reverses the commission on those items, and a refund you issue as a plain amount reverses commission on the item value you tell us that amount represents. A refund you tell us returns no item value — a goodwill payment, a shipping adjustment, or a price correction — reverses no commission, because the sale it was charged on still stands. Shipping and tax stay excluded throughout, exactly as they are excluded when the commission is first charged. Where a refund reaches us without that information, such as one issued directly through the payment processor rather than through your dashboard, we instead reverse the same share of the commission as the share of the buyer's total payment being refunded; that share includes shipping and tax, so it will not exactly match the commission charged on the items returned.

10. Cancellation

You may cancel your subscription at any time from your billing page. Cancellation takes effect at the end of the current billing period, and your store stays active until then. We do not refund the unused part of a billing period except where required by law. Cancelling a subscription does not by itself delete your store or its data; closing a store is covered in section 13.

11. Suspension

We may suspend or restrict a store where payment fails, where a store or its content appears to breach these terms or applicable law, where a store creates a security, fraud, deliverability, or payment-processor risk, or where we are required to do so. Where circumstances reasonably allow, we will tell you why and what would resolve it. Suspension does not cancel your subscription, and does not relieve either of us of obligations already incurred, including commissions on completed sales.

12. Store responsibilities

As a store operator you are the merchant and auction operator for your listings. You are responsible for describing items accurately, setting and honouring your own auction, payment, fulfillment, and refund practices, complying with consumer-protection, auction, tax, and marketing law that applies to your business, holding any licence or registration your jurisdiction requires, handling your customers’ personal information lawfully, and responding to your buyers. Your published store terms and store information must not reduce the rights buyers have under the store terms we provide or under applicable law.

13. Closing a store and what happens to its data

You may ask us to close your store. When a closure is requested, the storefront stops accepting new orders immediately and the subscription is cancelled. Your store is then deleted after the disclosed waiting period. Before deletion we prepare an export of your store’s records and catalogue images and make it available to you; you are responsible for collecting it. After deletion we keep that export for a limited period so a handover that went wrong can be made good, and we keep the records we are required to keep, including our own record of fees charged. Your store’s address is held for a period after deletion before it can be registered again, so that links and email pointing at your old storefront do not resolve to somebody else’s. Deletion is permanent and cannot be reversed once it runs. Current periods are published in our Privacy Policy.

14. Platform email allowances

Subscription plans include a disclosed monthly allowance for platform-sent transactional and notification email. Critical account, payment, staff-access, and auction-result messages are prioritized and are not blocked by that allowance. To protect deliverability and prevent abuse, high-volume optional notifications such as outbid email may be rate-limited, grouped into digests, paused, or otherwise restricted. Bulk marketing, newsletters, store announcements, and imported-list campaigns must use the store's configured email provider and remain subject to applicable consent and anti-spam requirements.
